1. Introduction

This WebOps Jumpstart Terms and Conditions Agreement (the “Agreement”) is entered into by and between Ryan Davis LLC, doing business as WebOps Hosting (“WebOps,” “we,” “us,” or “our”) and the customer (“Customer,” “you,” or “your”).

This Agreement is supplemental to our General Terms & Conditions, Acceptable Use Policy, and Privacy Policy. Once you keep your website, the terms of the hosting plan it runs on also apply. By asking for a WebOps Jumpstart preview, you agree to be bound by these terms.

Orders placed under the Website Jumpstart terms or the Handoff Build terms before the date of this Agreement keep the terms in force when they were placed.

2. Definitions

  • WebOps Jumpstart. Our service that builds a small business website with the help of artificial intelligence, from material you send us, and shows it to you before you decide whether to keep it.
  • Material. Everything you send us for the build: website addresses, social media pages, photos, logos, menus, price lists, documents and words, by form, email or WhatsApp.
  • Preview. A private link to the website we built from your Material, for your review before you decide.
  • Revision Round. One consolidated list of changes you send us after you receive the Preview, as described in section 5.
  • Keep. Your written decision to keep the Preview, which starts your hosting term and puts the website live on your domain.
  • Handoff Standard. Our written definition of a website its owner can change, move, sell and hand to someone else, including the $20k handover test described in section 8.
  • Partner. An agency in our partner program that orders WebOps Jumpstart for its own client, under section 11.

3. Scope of Service

We build one website from your Material, using artificial intelligence and our own WordPress theme and plugin (Foundry). A person at WebOps reviews the website before you receive the Preview.

The service includes:

  • up to seven (7) pages;
  • contact forms, and quote, booking or order request forms where your business takes them, delivered to your own email address;
  • a menu or price list, a gallery, opening hours, a tap-to-call button, a WhatsApp button, and directions, where your business uses them;
  • connecting your domain, setting up business email at your domain, and installing an SSL certificate, once you Keep;
  • one Revision Round before you decide.

We work from the Material you send. Where your Material is thin, we may write short placeholder text for you to approve or replace, and we tell you which text is ours.

4. The Preview and Your Card

To start a Preview, you give us a payment card. We store it with our payment processor. We do not charge it for the build or the Preview.

If you Keep, we charge your card for the first twelve (12) months of hosting on the Starter plan, paid in advance, at the Starter annual price on the date you Keep (the plan is advertised as US$25 a month, billed yearly). There is no setup fee.

If you do not Keep, or you do not answer within thirty (30) days of receiving the Preview, you owe nothing. We delete the Preview and your Material, and remove your card from our records.

5. Service Process

  • You send us your Material and give us a card.
  • We tell you if your website needs work past section 3. If it does, section 10 applies and we do not build a Preview.
  • We build the website and send you the Preview.
  • You may send one Revision Round. A Revision Round covers changes to text, images, colours, or the order of sections. It does not add pages or features outside section 3.
  • You Keep, or you do not.
  • If you Keep, we charge your card, connect your domain, set up your email, and put the website live.

6. Hosting Term and After the First Year

Your website runs on the WebOps Starter plan. The first twelve (12) months are paid in advance when you Keep. After that, the hosting renews at the Starter rate in force on renewal, for the billing cycle you choose, unless you cancel before the renewal date.

You may move your website to another host at any time. Section 12 applies.

7. Fixing Defects

The build has no fee, so there is nothing to refund on it. If, after you Keep, the website does not work as it did in the Preview you accepted, we fix it at no charge.

8. The Handoff Standard

Your website is built to our Handoff Standard: ordinary WordPress, made from native blocks, with no artificial intelligence or other tool left running inside it that only we can operate.

The test is the $20k handover test. A stranger buys the site for $20,000. They log into the admin, and within five minutes, with no code, no AI, no documentation and no help from whoever built it, they edit a headline, replace an image, and move one section above another.

If your website fails that test after you Keep, we fix it at our cost until it passes.

The Handoff Standard is our own written standard. No outside body awards or audits it.

9. Intellectual Property and Software Licences

Everything you send us remains your property. The words, images and layout we make for your website pass to you when you Keep.

Our Foundry theme and plugin remain our property. We grant you a non-exclusive licence to use them as part of your website, for as long as the website exists, including after it moves to another host.

Some components are commercial software licensed to WebOps (for example ACF PRO and Gravity Forms). While your website is hosted with WebOps, they are included and kept current. If the website leaves WebOps, you buy your own licence from the vendor at its published price, or we transfer whatever the vendor’s terms allow.

You confirm that you own all Material you send us, or have the right to use it on your website. You agree to indemnify WebOps against claims arising from Material you supplied.

10. Work Past This Service

The following are outside WebOps Jumpstart: online payments and checkout, bookings tied to a calendar system, member areas, connections to other systems, custom post types and directories, more than seven (7) pages, and a design process with rounds of sign-off.

If you ask for any of these, we tell you before we build a Preview. Our web development team at Lucky Tyke can quote that work under its own terms. You contract with Lucky Tyke separately, and your website can still be hosted with WebOps.

11. Partners

A Partner may order WebOps Jumpstart for its own client and set its own price to that client. The hosting is billed to the Partner on its partner terms, including its partner discount on hosting. The Partner warrants that it orders in the course of a business and not as a consumer, that it holds its client’s permission to send us the client’s Material, and that it is responsible for its own agreement with its client.

12. Leaving

If you leave WebOps, we give you a complete backup of your website on request, free of charge, and we migrate it to your new host free of charge, under our Free Migrations terms.

13. Disclaimer of Warranties

Except for sections 7 and 8, the service is provided on an “as is” and “as available” basis. WebOps makes no other express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Limitation of Liability

In no event shall WebOps be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to this service, including loss of data or loss of revenue, and including loss suffered by a Partner’s client. Our total aggregate liability is capped at the amount you paid for the first twelve (12) months of hosting.

15. Changes to Terms

We may change these terms. Changes are posted on this page with a new date. Changes do not alter a Preview already started or a hosting term already paid.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17. Support Policy

For the support you receive once you Keep, including scope and response times, see our Support Policy.

18. Contact Information
