1. Introduction
This Reseller WordPress Hosting Terms & Conditions Agreement ("Agreement") is entered into by and between Ryan Davis LLC, doing business as WebOps Hosting ("WebOps," "we," "us," or "our"), and you, the reseller ("Reseller," "you," or "your"). This Agreement governs your use of our Reseller WordPress Hosting services and establishes the framework under which you may resell these services to your own end-users.
This Agreement is supplemental to our General Terms & Conditions, Acceptable Use Policy (AUP), and Privacy Policy. By ordering, activating, or using our Reseller WordPress Hosting services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement in its entirety.
2. Service Description
WebOps Hosting provides you with the infrastructure and tools necessary to resell high-performance WordPress hosting services under your own brand. The service includes the ability to provision multiple WordPress installations within isolated environments, powered by WebOps Hosting's enterprise-grade infrastructure.
The specific resources allocated to you (such as storage space, bandwidth, number of sites, and server specifications) are determined by the reseller hosting plan you select during the ordering process or as upgraded subsequently.
3. Reseller Responsibilities
As a Reseller, you operate as an independent business entity. You are solely responsible for the following:
- Marketing and Sales: You are responsible for marketing, selling, and provisioning services to your own clients ("End Users").
- End-User Support: You must provide direct technical and administrative support to your End Users. WebOps Hosting will not communicate directly with your End Users unless specifically authorized by you in writing.
- Compliance Enforcement: You must ensure that your End Users comply with the WebOps Hosting Acceptable Use Policy (AUP). You are ultimately responsible for all activities, content, and traffic originating from your reseller account and your End Users' accounts.
- Billing and Collections: You are solely responsible for setting your own pricing, invoicing your End Users, and collecting payments. WebOps Hosting is not involved in any financial transactions between you and your End Users.
- Legal Compliance: You must ensure that your business operations, data collection practices, and service agreements with your End Users comply with all applicable local, state, federal, and international laws.
- Security: You are responsible for securing your account credentials, maintaining strong passwords, and promptly reporting any suspected security breaches to WebOps Hosting.
4. WebOps Hosting's Responsibilities
While you manage the relationship with your End Users, WebOps Hosting is responsible for maintaining the underlying infrastructure and providing technical support directly to you. Our responsibilities include:
- Infrastructure Management: Monitoring, maintaining, and upgrading the physical servers, network hardware, and underlying virtualization platforms.
- Security Services: Implementing and maintaining network-level security measures, including firewalls, malware scanning, and intrusion detection/prevention systems to protect the hosting environment.
- Reseller Support: Providing direct technical support to you (the Reseller) for infrastructure-related issues, server errors, and platform management.
5. Service Availability
WebOps Hosting is committed to providing a highly available service. We guarantee network and server uptime in accordance with our Service Level Agreement (SLA). Please refer to the SLA for specific guarantees, calculation methods, and remedy procedures in the event of service interruptions.
6. Branding and White-Labeling
Our Reseller WordPress Hosting services are designed to be fully white-labeled. You are permitted and encouraged to brand the services under your own company name, logo, and identity.
WebOps Hosting operates strictly as the backend infrastructure provider. We will not include our branding, logos, or contact information on control panels or communication templates intended for your End Users. You retain full control over all client communications and branding elements.
7. Billing and Payment
Fees: You will be billed by WebOps Hosting based on the specific reseller plan you have selected. All fees are required to be paid in advance for the corresponding billing cycle (e.g., monthly, annually).
Reseller Pricing: You have complete autonomy to determine the retail pricing structure for the services you offer to your End Users.
Price Adjustments: WebOps Hosting reserves the right to adjust our pricing. We will provide you with a minimum of thirty (30) days written notice prior to implementing any price increases, allowing you sufficient time to adjust your own pricing models if necessary.
8. Support Services
WebOps Hosting provides comprehensive technical support exclusively to our direct clients—the Resellers. Support is available via email, support tickets, and live chat as outlined in your plan.
Exclusions: We do not provide direct support to your End Users. Furthermore, our support scope does not include custom website design, custom software development, or fixing errors within third-party WordPress plugins or themes utilized by your End Users, unless directly related to our server environment.
9. Termination
Voluntary Termination: Either party may terminate this Agreement by providing thirty (30) days written notice to the other party.
Termination for Cause: WebOps Hosting reserves the right to immediately suspend or terminate your reseller account, without prior notice, in the event of a material breach of this Agreement, non-payment of fees, or violation of our Acceptable Use Policy.
Post-Termination: Upon termination, all data associated with your reseller account and your End Users' accounts will be permanently deleted after the designated retention period. It is your sole responsibility to notify your End Users of the termination and arrange for the migration of their data prior to the termination date.
10. Limitation of Liability
To the maximum extent permitted by applicable law, WebOps Hosting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or data use, arising out of or related to this Agreement or your use of the services, even if we have been advised of the possibility of such damages.
In no event shall our aggregate liability for any claims arising under this Agreement exceed the total amount of service fees paid by you to WebOps Hosting during the twelve (12) months immediately preceding the event giving rise to the claim.
11. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Delaware, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
12. Amendments
WebOps Hosting reserves the right to modify, amend, or update this Agreement at any time. We will notify you of any material changes by posting the updated Agreement on our website and updating the "Last Updated" date. Your continued use of the Reseller WordPress Hosting services following the posting of changes constitutes your acceptance of such modifications.
