These Reseller WordPress Hosting Terms & Conditions ("Agreement") are entered into by and between Ryan Davis, LLC, trading as WebOps Hosting ("WebOps Hosting", "we", "us", or "our"), and the reseller ("you" or "your"). This Agreement governs your purchase and use of Reseller WordPress Hosting services ("Services") provided by WebOps Hosting and is supplemental to the General Terms and Conditions, including the Acceptable Use Policy and the Privacy Policy. The ordering of Reseller WordPress Hosting services from WebOps Hosting constitutes acceptance by the customer of the General Terms and Conditions and these Reseller WordPress Hosting Terms and Conditions.
WebOps Hosting offers Reseller WordPress Hosting services that allow you to resell WordPress hosting under your own brand. The Services include the ability to create and manage multiple WordPress installations, each with its own isolated environment, and offer hosting to your clients using WebOps Hosting's infrastructure.
As a reseller, you agree to:
WebOps Hosting will provide the infrastructure and technical support necessary to maintain the hosting environment, including:
WebOps Hosting strives to provide high availability for the Reseller WordPress Hosting environment. The specific uptime guarantee and remedies for any service interruptions are outlined in the Service Level Agreement (SLA), which is incorporated into this Agreement by reference.
As part of the Reseller WordPress Hosting service, you have the option to brand the hosting services under your own name and logo. WebOps Hosting will remain the backend provider, but your clients will interact with your brand. You are responsible for all aspects of branding and client communication.
You will be billed by WebOps Hosting for the Services according to the plan you select during the signup process. It is your responsibility to bill and collect payments from your clients. Payment for the Services is due in advance, and failure to pay may result in suspension or termination of your reseller account.
WebOps Hosting reserves the right to adjust pricing with 30 days' notice. You are responsible for notifying your clients of any pricing changes that may affect them.
WebOps Hosting provides technical support to you as the reseller through email, ticketing system, or live chat, depending on the plan selected. You are responsible for providing support to your clients. WebOps Hosting's support does not include custom development or design services.
Either party may terminate this Agreement at any time by providing 30 days' written notice to the other party. WebOps Hosting may also terminate this Agreement immediately if you breach any of the terms of this Agreement or fail to pay the applicable fees. Upon termination, WebOps Hosting will disable access to your reseller account and may delete all associated data after a specified period.
If you terminate the Agreement, it is your responsibility to notify your clients and make arrangements for the migration of their websites to another provider if necessary.
To the maximum extent permitted by law, WebOps Hosting shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Reseller WordPress Hosting Services, including but not limited to loss of business, revenue, profits, or data, even if advised of the possibility of such damages. Our total liability under this Agreement shall not exceed the amount paid by you for the Services in the 12 months preceding the event giving rise to the claim.
This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be resolved in the courts of Delaware.
We reserve the right to modify these terms and conditions at any time. Any changes will be posted on our website, and your continued use of the Services constitutes acceptance of the modified terms.
